THE SCRUBBED AND WIRED EXCHANGE

OFFICIAL RULES AND SUBMISSION RIGHTS AGREEMENT

Effective upon publication

The Scrubbed and Wired Exchange (“Exchange”) is an ongoing community initiative operated by Scrubbed and Wired, LLC (“Scrubbed and Wired,” “Sponsor,” “we,” “us,” or “our”). The Exchange gives Interventional Radiology Technologists and other eligible participants an opportunity to submit practical IR Tech tips, workflow ideas, and optional short-form demonstration videos for consideration, recognition, and possible use in Scrubbed and Wired educational, promotional, advertising, social media, commercial, and other content.

By submitting any tip, text, photograph, video, audio, idea, demonstration, description, or other material to the Exchange, you acknowledge that you have read, understand, and agree to these Official Rules and Submission Rights Agreement.

1. Eligibility

Participants must be at least eighteen (18) years old and must have reached the age of legal majority in their jurisdiction of residence.

Submissions are accepted only where lawful. Participation is void where prohibited or restricted by applicable law.

Employees, officers, owners, directors, agents, contractors, and representatives of Scrubbed and Wired, and members of their immediate households, are not eligible to receive an Exchange prize unless Scrubbed and Wired expressly determines otherwise in writing.

Scrubbed and Wired may determine eligibility at any time and may request reasonable verification of identity, age, professional status, authorship, or compliance with these Rules.

2. No Purchase Necessary

No purchase of any Scrubbed and Wired product, subscription, training program, or service is necessary to submit a tip or to be considered for Exchange Ace recognition.

Purchasing a Scrubbed and Wired product or service does not increase the likelihood that a submission will be selected.

3. What May Be Submitted

Participants may submit an original written Quick Pro Tip and, where available, an optional short video demonstrating or explaining that tip.

Written tips are required. Video submissions are optional.

Any video submitted through the Exchange must comply with the file and duration requirements displayed on the submission form, which may include a maximum duration of approximately fifteen (15) seconds and a maximum file size of 10 MB.

Scrubbed and Wired may change technical submission requirements at any time.

4. Submission Safety, Privacy, and Facility Requirements

A Submission must not contain or reveal:

Patients or identifiable patient information;
Protected health information (“PHI”);
Patient records, labels, wristbands, monitors, screens, imaging data, medical records, schedules, or other information capable of identifying a patient;
Confidential or proprietary hospital, employer, vendor, or third-party information;
Material recorded or disclosed in violation of an employer's or facility's policies;
Content that violates privacy, intellectual-property, confidentiality, employment, contractual, or other legal obligations;
Unsafe, unlawful, deceptive, defamatory, discriminatory, obscene, or otherwise inappropriate material.

Participants should not record actual patients or actual patient procedures for purposes of an Exchange submission.

If any Submission is recorded inside a healthcare facility, workplace, laboratory, clinical area, or other property not owned by the participant, the participant is solely responsible for obtaining all permissions and approvals required by the facility, employer, property owner, or other applicable party before recording or submitting the content.

Scrubbed and Wired does not authorize any participant to violate facility policy, employer policy, confidentiality requirements, HIPAA obligations, intellectual-property rights, manufacturer requirements, or applicable law in order to create a Submission.

5. Your Representations and Warranties

By submitting content, you represent and warrant that:

You created the Submission or otherwise own and control all rights necessary to submit it and grant the rights described in these Rules.

The Submission is original to you except for material that you are legally authorized to include.

No employer, healthcare facility, patient, coworker, manufacturer, company, photographer, videographer, or other third party owns rights that prevent you from granting the rights described here.

You have obtained every permission, release, consent, authorization, or approval required for the Submission.

The Submission does not contain PHI, confidential information, trade secrets, or other information you are prohibited from disclosing.

The Submission does not infringe or violate any copyright, trademark, patent, privacy right, publicity right, contractual right, confidentiality obligation, employment obligation, or other right of another person or entity.

The Submission is not knowingly false, misleading, dangerous, or presented as a substitute for physician direction, facility policy, manufacturer instructions, professional judgment, or applicable standards of care.

6. OWNERSHIP OF SUBMISSIONS — IMPORTANT

By submitting content to the Scrubbed and Wired Exchange, you agree that Scrubbed and Wired will own the submitted content and may use it without further payment to you.

To the fullest extent permitted by applicable law, you hereby irrevocably assign, transfer, convey, and deliver to Scrubbed and Wired, LLC all right, title, and interest that you own in and to the Submission, including all transferable copyrights and other intellectual-property rights in the Submission and all renewals, extensions, and proceeds of those rights.

To the extent any right in the Submission cannot legally be assigned, you grant Scrubbed and Wired an exclusive, irrevocable, perpetual, worldwide, transferable, sublicensable, fully paid-up, royalty-free license to use, reproduce, display, perform, publish, distribute, transmit, advertise, promote, edit, modify, crop, excerpt, caption, dub, translate, adapt, combine, reformat, create derivative works from, commercialize, license, sublicense, and otherwise exploit the Submission for any lawful purpose and through any media or technology now known or later developed.

Scrubbed and Wired may use the Submission in, among other things:

Scrubbed and Wired training videos and educational programs; websites and landing pages; social-media posts, Reels, Shorts, and other video content; email marketing; advertising and paid advertising; presentations; promotional materials; downloadable materials; printed materials; demonstrations; future products or services; compilations of tips; and other commercial or noncommercial uses selected by Scrubbed and Wired.

Scrubbed and Wired may edit, shorten, expand, re-record, recreate, illustrate, animate, narrate, combine, adapt, or otherwise modify a Submission.

Scrubbed and Wired may also independently create its own demonstration or educational content based upon a submitted tip, idea, concept, technique, method, suggestion, workflow, or know-how.

You will not be entitled to royalties, residuals, licensing fees, usage fees, revenue sharing, commissions, profit participation, additional prizes, or any other compensation because Scrubbed and Wired uses, republishes, adapts, commercializes, or otherwise exploits your Submission.

Except for any prize expressly offered under these Rules, no additional compensation is owed to the submitter now or in the future.

To the fullest extent permitted by law, you waive any moral rights, rights of attribution, rights of integrity, or similar rights that you may have in connection with the Submission.

If any further document or confirmation is reasonably necessary to evidence or perfect the rights granted to Scrubbed and Wired under these Rules, you agree to reasonably cooperate in executing that documentation.

7. Ideas, Methods, Techniques, and Know-How

You understand that copyright law may not protect an underlying idea, method, procedure, process, technique, workflow, concept, or system.

Accordingly, independently of the copyright assignment above, you expressly authorize Scrubbed and Wired to freely use, develop, demonstrate, teach, incorporate, adapt, commercialize, or build upon any idea, concept, technique, method, workflow, procedure, know-how, suggestion, or other information communicated through your Submission, without restriction and without additional compensation.

8. Name, Image, Voice, and Publicity Permission

If your Submission includes your name, image, likeness, voice, professional title, social-media handle, biography, photograph, or other identifying information, you grant Scrubbed and Wired the perpetual, worldwide, royalty-free right to use that information in connection with the Submission and the promotion, advertising, marketing, and operation of Scrubbed and Wired and the Exchange.

Scrubbed and Wired may identify you as the contributor of a Submission but is not required to provide attribution.

Scrubbed and Wired has no obligation to obtain additional approval from you before publishing, editing, republishing, or using an authorized Submission.

9. No Obligation to Publish or Select

Submitting content does not guarantee:

Publication;

Selection as an Exchange Ace;

Receipt of a prize;

Attribution;

A response from Scrubbed and Wired; or

Any other benefit.

Scrubbed and Wired may accept, reject, remove, decline to publish, discontinue use of, or choose not to act upon any Submission for any reason.

Scrubbed and Wired may receive multiple submissions containing similar or identical ideas. Submission of an idea does not prevent Scrubbed and Wired from using an independently developed, previously known, or separately submitted similar idea.

10. Exchange Ace Selection

Scrubbed and Wired may periodically select a contributor as an Exchange Ace.

Selection is based on skill and editorial judgment and is not a random drawing.

Factors may include usefulness to IR Technologists, originality, clarity, professional relevance, practical applicability, safety, and overall educational value.

Scrubbed and Wired retains sole and final discretion regarding eligibility, judging, selection, and interpretation of these criteria.

Scrubbed and Wired is not required to select an Exchange Ace during any particular month or period if, in its judgment, no eligible Submission meets its standards.

Decisions of Scrubbed and Wired are final to the extent permitted by law.

11. Prizes and Swag

An Exchange Ace may receive a Scrubbed and Wired promotional or swag package. Contents may vary and may include branded merchandise such as a mouse pad, badge reel, stickers, or other items selected by Scrubbed and Wired.

Prize items have no guaranteed cash equivalent. Scrubbed and Wired may substitute, modify, or discontinue prize items when reasonably necessary.

Participants are responsible for any taxes, duties, import charges, customs charges, or other costs imposed upon a prize where applicable.

International participation or selection may be limited when shipping, customs, local promotional laws, sanctions, or other legal or logistical restrictions make fulfillment impracticable or unlawful.

Scrubby collectible figurines are not automatically included in the monthly Exchange Ace prize. No participant has any right or entitlement to receive a Scrubby unless a separate written Scrubbed and Wired announcement or promotion expressly states otherwise.

12. Educational Content Disclaimer

The Exchange is intended for educational and informational purposes.

Submitted tips and any resulting Scrubbed and Wired content are not medical advice, physician instruction, facility policy, manufacturer instructions, credentialing, certification, competency verification, or a substitute for professional judgment.

Participants and viewers remain responsible for complying with physician direction, institutional policies and procedures, manufacturer instructions for use, applicable regulations, professional standards, and their own scope of practice.

Scrubbed and Wired does not guarantee that every submitted technique, tip, workflow, or suggestion will be appropriate for every facility, device, procedure, patient, or circumstance.

13. Release and Limitation of Liability

To the fullest extent permitted by applicable law, each participant releases and holds harmless Scrubbed and Wired, LLC and its owners, members, officers, employees, contractors, agents, representatives, affiliates, successors, assigns, service providers, advertising partners, and promotional partners from claims, liabilities, losses, damages, costs, or expenses arising from or relating to:

Participation in the Exchange;

Creation or submission of content;

Scrubbed and Wired's authorized use, editing, modification, publication, or commercialization of a Submission;

Selection or non-selection of a Submission;

Acceptance, use, misuse, loss, damage, delivery, or non-delivery of a prize; or

Technical failures, transmission failures, unavailable websites, lost submissions, corrupted files, or third-party services.

Nothing in these Rules excludes liability that cannot lawfully be excluded.

14. Indemnification

You agree, to the fullest extent permitted by law, to defend, indemnify, and hold harmless Scrubbed and Wired, LLC and its owners, members, officers, employees, contractors, agents, affiliates, successors, and assigns from claims, demands, damages, liabilities, judgments, losses, costs, and reasonable attorneys' fees arising from or related to:

Your Submission;

Your breach of these Rules;

An allegation that your Submission infringes or violates another person's rights;

Your failure to obtain necessary permissions or releases;

Your disclosure of PHI, confidential information, proprietary information, or trade secrets;

Your violation of facility, employer, vendor, or institutional policies; or

Your violation of applicable law.

15. Disqualification and Removal

Scrubbed and Wired may reject or disqualify a Submission or participant if it reasonably believes that the participant:

Violated these Rules;

Provided false information;

Submitted material they did not have authority to submit;

Attempted to manipulate the selection process;

Engaged in harassment, fraud, abuse, or misconduct;

Created a safety, privacy, legal, reputational, or compliance concern; or

Otherwise acted inconsistently with the purpose or integrity of the Exchange.

Scrubbed and Wired may remove previously published content whenever it determines removal is appropriate.

Removal from publication does not revoke rights that were previously granted or assigned to Scrubbed and Wired under these Rules.

16. Privacy and Third-Party Services

Information submitted through the Exchange may be collected and processed using third-party technology providers used by Scrubbed and Wired for form processing, storage, administration, or related business functions.

Personal information will be handled in accordance with the Scrubbed and Wired Privacy Policy and applicable law.

Consent to receive marketing emails should be requested separately from the mandatory acceptance of these Official Rules. Declining optional marketing communications will not by itself disqualify an otherwise eligible Submission.

17. Disclosure if a Contributor Receives Something of Value

If Scrubbed and Wired later uses a selected contributor in promotional or endorsement-style content and the contributor received a prize, merchandise, free access, payment, or another material benefit, Scrubbed and Wired and the contributor may be required to clearly disclose that relationship where applicable.

18. Modification, Suspension, or Termination

Scrubbed and Wired may modify, suspend, postpone, or terminate the Exchange when reasonably necessary because of technical problems, fraud, abuse, legal or regulatory concerns, safety concerns, business considerations, or circumstances outside its reasonable control.

Scrubbed and Wired may update these Rules prospectively by publishing revised Rules.

Rights previously assigned or granted to Scrubbed and Wired with respect to already-submitted content survive expiration, modification, suspension, or termination of the Exchange.

19. Governing Law

To the fullest extent permitted by applicable law, these Rules and disputes arising from the Exchange will be governed by the laws of the State of Florida, without regard to conflict-of-law principles.

Any legal action relating to the Exchange shall be brought in an appropriate state or federal court located in Florida where jurisdiction and venue are proper, unless applicable law requires otherwise.

20. Severability and No Waiver

If any portion of these Rules is held invalid or unenforceable, the remaining provisions will continue in effect to the fullest extent permitted by law.

Failure by Scrubbed and Wired to enforce any provision on one occasion does not waive its right to enforce that provision later.

21. Electronic Acceptance and Signature

Submission of content requires affirmative acceptance of these Rules.

By checking the required agreement box, entering your full legal name as an electronic signature, and submitting the Exchange form, you affirmatively consent to these Rules and intend your electronic action to constitute your signature and written agreement, including the assignment and transfer of rights described above.

If you do not agree to these terms, do not submit content to the Scrubbed and Wired Exchange.
